Terms and Conditions

This End-User License Agreement (“Agreement”) is entered into by and between MedSessions, LLC (“MedSessions,” “we,” “us,” or “our”) and _______________________ (“Customer,” “you,” or “your”) to govern your use of MedSessions’ AI services (the “Service”).

01. License Grant and Scope

MedSessions grants you a non-exclusive, non-transferable, revocable license to access and use the Service by installing the iFrame widget we create for you, as customized for your medical practice, on your website. You may allow patients and visitors to your website to use the Service through the iFrame widget so long as they are subject to the disclaimers and terms at least as restrictive as this Agreement. You may not sublicense, modify, or distribute the Service.

02. Use Restrictions

You agree not to:

• Reverse engineer, disassemble, or decompile any component of the Service.
• Use the Service in any manner that violates laws, regulations, or the rights of third parties.
• Attempt to interfere with the normal operation of the Service.

03. Service Customization and Limitations

The Service will be customized by MedSessions based on your practice’s needs. No further customization or modification by you is permitted. The chatbot does not store personally identifiable information (PII), the public versions do not learn or adapt based on user interactions.

04. Disclaimers

No Medical Advice: The Service is not a substitute for medical advice, diagnosis, or treatment. Responses provided by the chatbot are for general informational purposes and should not be relied upon as professional medical guidance.

Accuracy of Information: MedSessions strives to ensure the chatbot’s content is accurate and current but does not warrant that it will always be free from errors or reflect the most up-to-date medical knowledge.

05. Privacy and Data Handling

MedSessions does not collect, store, or process PII from users interacting with the Service. Any data inputs are processed temporarily to generate responses and are not retained beyond the interaction session.

06. Subscription Terms and Termination

Fees: Subscriptions are billed in advance based on agreed terms. Fees are non-refundable except as explicitly stated in this Agreement.

Termination: Either party may terminate this Agreement with thirty (30) days’ written notice. Upon termination, you must cease all use of the Service and remove the chatbot from your website.

07. Limitation of Liability

• MedSessions shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service.
• Our maximum liability for any claims arising from this Agreement shall not exceed the total subscription fees you paid to MedSessions in the twelve (12) months preceding the claim.

08. Indemnification

You agree to indemnify and hold harmless MedSessions from claims, damages, or expenses arising from your use of the Service, including any misuse or unauthorized modification.

09. Service Availability and Support

MedSessions strives to maintain high availability of the Service but does not guarantee uninterrupted or error-free operation. Scheduled maintenance or updates may temporarily disrupt service.

10. Intellectual Property

All intellectual property rights in the Service, including any customizations, belong to MedSessions. You acquire no ownership rights through this Agreement or any customization of this service.

11. Governing Law and Dispute Resolution

This Agreement is governed by the laws of Colorado. Disputes will be resolved exclusively through binding arbitration under the rules of the American Arbitration Association in Denver, Colorado.

12. Amendments and Updates

MedSessions may modify this Agreement by providing notice. Continued use of the Service constitutes acceptance of the updated terms.

13. Miscellaneous

• Force Majeure: MedSessions is not responsible for delays or failures caused by events outside our reasonable control, including natural disasters or cyberattacks.
• Severability: If any provision of this Agreement is deemed unenforceable, the remaining provisions shall remain in effect
